Terms

Terms AndConditions.

The agreement between you and StapleWorks when you engage us. Read alongside our Policies, which form part of these terms.

1. These Terms

These terms govern the supply of marketing services by StapleWorks ("we", "us") to a client ("you"). They apply together with our Policies and with any written proposal or statement of work we agree with you. Where a signed statement of work conflicts with these terms, the statement of work takes precedence.

Using this website, submitting the enquiry form, or engaging our services indicates that you accept these terms.

2. Services

We provide brand and web design services for local businesses, including dental practices: website design and build, brand refresh, content strategy and, for Growth Partner clients, content production and paid campaign management. The exact scope of any engagement is the scope described in the statement of work for that engagement and nothing beyond it.

We are a marketing provider. We do not provide dental, medical, legal, accounting, tax or regulatory advice, and nothing we produce should be relied on as such.

3. Fees And Payment

Fees are as stated in the statement of work. Brand Design Launch engagements are invoiced 50% on acceptance and 50% before the site goes live. Growth Partner is invoiced monthly in advance and carries a three-month minimum term.

Invoices are payable within seven days. We may suspend work on overdue accounts after written notice. All fees are exclusive of any taxes that apply in your jurisdiction.

4. Advertising Spend

Where an engagement includes paid advertising, advertising spend is not part of our fee. It is paid by you directly to the relevant advertising platform from an account you own and control. We do not hold, process or take a percentage of your media budget. You remain responsible for the account, its funding and its standing with the platform.

5. Term And Termination

A launch runs for the period described in the statement of work. Growth Partner runs for its minimum term and then continues until either party gives 30 days' written notice.

Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within 14 days of being notified of it, or becomes insolvent. On termination you pay for work performed up to that date, and we hand over the assets described in clause 7.

6. Previews

A preview produced before an engagement is provided free of charge and creates no obligation on either side. It remains our work until a statement of work is agreed, and it may not be published or used as the basis for a site built by anyone else without one.

7. Intellectual Property

On full payment, all deliverables produced specifically for you under a statement of work — website design and code, brand files, copy and the content playbook — become your property. Your domain, hosting and any advertising account remain yours throughout.

We retain ownership of our own pre-existing materials, internal methods, templates, tooling and know-how, including anything we developed before or independently of your engagement. Nothing in this agreement transfers those to you, and nothing prevents us from working with other practices, including in adjacent markets, subject to clause 9.

You grant us a licence to use your name, logo and the work we produced for you as a portfolio reference. You may withdraw that permission at any time in writing and we will remove the reference.

8. Your Materials And Warranties

You will supply brand assets, photography, patient imagery, testimonials, credentials and pricing information as needed. You warrant that you own or are licensed to use everything you supply, that you hold signed releases from every identifiable patient permitting use of their image or words in paid advertising and on a public website, and that all clinical, credential and pricing information you give us is accurate and current.

You are responsible for compliance with the rules of your state dental board, applicable advertising regulation and any professional body you answer to. We will flag anything that appears likely to breach a platform policy or professional standard, but the final responsibility for what is published about your practice is yours.

9. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of the engagement. This includes your performance data, pricing, patient materials and business plans, and our methods, pricing and proposals. This obligation survives termination.

Where you have asked us not to name you publicly, we will not, and that instruction survives the end of the engagement indefinitely.

10. Third-Party Platforms

Our services depend on platforms we do not control, including but not limited to hosting providers, Meta and Google. Their policies, approval decisions, pricing, targeting options and account enforcement can change without notice and can affect campaign performance or availability.

We are not liable for the acts, omissions, outages or policy decisions of those platforms, including account restriction or ad rejection, except to the extent caused by our own negligence.

11. Limitation Of Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, our total aggregate liability arising out of or in connection with an engagement is limited to the total fees you paid us for that engagement in the 12 months before the claim arose. We are not liable for loss of profit, loss of revenue, loss of anticipated savings, loss of data, loss of goodwill or any indirect or consequential loss.

Marketing outcomes depend on factors outside our control, including your pricing, your market, your treatment capacity, how quickly enquiries are answered and how they are converted. We do not warrant any particular level of revenue, traffic, enquiries or patient volume.

12. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from material you supplied, from a breach of the warranties in clause 8, or from your use of deliverables in a way that was not agreed.

13. General

Neither party is liable for failure to perform caused by events outside its reasonable control. If any provision is found unenforceable, the rest continues in force. These terms, the Policies and the statement of work are the entire agreement between us on their subject matter.

We may update these terms from time to time. The version in force for an engagement is the version published when that statement of work was accepted.

These terms are governed by the law named in your signed statement of work, and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising from them. Where work begins without a statement of work naming one, the parties will agree a governing law in writing before any dispute is referred anywhere.
